Smarthub Acceptable Use Policy

SMARTHUB ACCEPTABLE USE POLICY 

This Acceptable Use Policy (“AUP”) forms part of the Smarthub End User Licence Agreement (“Agreement”) between you (“Customer”, “you”) and Prodactive Labs Ltd (“Prodactive Labs”, “we”, “us”). 

By using Smarthub, you agree to comply with this AUP. Violation of this AUP may result in suspension or termination of your account. 

  1. PROHIBITED CONDUCT

1.1 Harm to Persons 

You shall not use Smart Hub to: 

(a) harm, harass, threaten, stalk, abuse, or intimidate any person; 

(b) violate any person’s privacy rights or other legal rights; 

(c) impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity; 

(d) distribute spam, unsolicited communications, or engage in phishing activities; 

(e) distribute viruses, malware, ransomware, or other harmful or malicious code; 

(f) promote, incite, or facilitate violence, hatred, discrimination, terrorism, or illegal activities. 

1.2 Unauthorised Access and Service Abuse 

You shall not: 

(a) attempt to gain unauthorised access to other users’ accounts or data; 

(b) interfere with, disrupt, or compromise the integrity, security, or performance of the Services or our infrastructure. 

  1. SMARTSHEET-SPECIFIC PROHIBITIONS

You shall not use Smart Hub to: 

(a) access Smartsheet data that you are not authorised to access under your Smartsheet licence; 

(b) abuse, manipulate, or circumvent Smartsheet’s API rate limits or usage restrictions; 

(c) violate your Smartsheet licence terms or Smartsheet’s acceptable use policy in any manner. 

  1. CREDIT SYSTEM INTEGRITY

You shall not: 

(a) manipulate, bypass, tamper with, or exploit vulnerabilities in the Credit metering or billing system; 

(b) use technical exploits, bugs, or vulnerabilities to avoid proper Credit charges; 

(c) create multiple accounts for the purpose of obtaining additional Credits or circumventing usage limits; 

(d) engage in any fraudulent, deceptive, or dishonest billing or payment practices. 

  1. PROHIBITED CONTENT

You shall not use Smart Hub to store, transmit, process, or facilitate the transmission of: 

(a) content that is illegal under the laws of England and Wales or the jurisdiction in which you operate; 

(b) child sexual abuse material (CSAM) or any content that sexually exploits or endangers children; 

(c) content that promotes, facilitates, or provides instructions for terrorism, violent extremism, or serious physical harm to persons; 

(d) malware, viruses, trojans, worms, ransomware, or other malicious code designed to harm systems or data; 

(e) content that infringes or misappropriates any third party’s intellectual property rights, including copyright, trade marks, patents, trade secrets, or other proprietary rights; 

(f) content that violates applicable export control laws, sanctions regulations, or embargoes. 

  1. REPORTING OBLIGATIONS

5.1 You shall promptly notify us in writing if you become aware of: 

(a) any violation of this AUP by you or any of your Authorised Users; 

(b) any security breach, vulnerability, or unauthorised access to your account or the Services; 

(c) any suspicious activity or potential abuse of the Services. 

5.2 You shall cooperate fully with our investigations into suspected violations of this AUP, including providing information and access as reasonably requested. 

  1. ENFORCEMENT

6.1 If we reasonably believe you have violated this AUP, we may suspend your access to the Services immediately in accordance with Clause 17.8 of the Agreement. 

6.2 Following suspension, we will provide you with notice of the suspected violation and an opportunity to remedy the breach within the timeframe specified in our notice (typically 30 days, or less for serious violations). 

6.3 If you fail to remedy the violation within the specified timeframe, or if the violation is not capable of remedy, we may terminate the Agreement in accordance with Clause 14.2. 

6.4 If we suspend or terminate your account due to your breach of this AUP, you shall not be entitled to any refund of unused Credits or prepaid Subscription Fees.
